1. Overview

This website is operated by KCG Ventures LLC (“we,” “us,” or “our”), including our brands BotanIQals and MiniLeaf. By accessing our website or purchasing from us, you agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, you may not use our services.

2. Products and Intended Use

BotanIQals

BotanIQals products are cosmetic and personal care products intended for general wellness use. They are not intended to diagnose, treat, cure, or prevent any disease.

All product information is provided for general informational purposes only.

MiniLeaf (B2B + Direct Sales)

MiniLeaf primarily supplies fresh microgreens to business customers (restaurants, retailers, and partners), with limited direct-to-consumer sales through farmers markets.

  • All MiniLeaf products are perishable
  • Shelf life is limited and dependent on proper storage
  • Business customers are responsible for safe handling after delivery

3. Orders and Payments

General

  • Prices are listed in USD and subject to change
  • Payment must be completed prior to fulfillment unless otherwise agreed (B2B terms)
  • We reserve the right to refuse or cancel orders

B2B Orders (MiniLeaf)

  • Orders may be placed via invoice, direct communication, or approved channels
  • Payment terms (e.g., Net terms) must be agreed upon in advance
  • Late payments may result in paused or canceled future orders

4. Pre-Orders and Production (MiniLeaf)

MiniLeaf products are often grown to order.

  • Orders are scheduled in advance based on production cycles
  • Harvest dates are estimated, not guaranteed
  • By placing an order, B2B customers acknowledge agricultural variability (growth time, yield, etc.)

5. Shipping, Delivery, and Pickup

Shipping (BotanIQals – USPS)

  • Orders are shipped via United States Postal Service (USPS)
  • Delivery times are estimates and not guaranteed

Once shipped:

  • Responsibility transfers to the customer
  • We are not liable for USPS delays, lost packages, or delivery issues

Customers must:

  • Provide accurate shipping information
  • Monitor tracking and coordinate with USPS if needed

Local Delivery (MiniLeaf – B2B)

  • Delivery schedules are coordinated directly with business customers
  • Customers must be available to receive deliveries at the agreed time

If a delivery cannot be completed due to customer unavailability:

  • Product quality cannot be guaranteed
  • Order may be considered fulfilled

Farmers Markets (MiniLeaf – Direct Sales)

  • All purchases made at farmers markets are final at point of sale
  • Customers are responsible for product handling after purchase

6. Returns, Refunds, and Claims

BotanIQals

  • Returns accepted within 30 days for unused, unopened items
  • Refunds processed after inspection

MiniLeaf (B2B)

  • Due to the perishable nature, all sales are final
  • Any quality issues must be reported within 24 hours of delivery

At our discretion, we may offer:

  • Replacement product
  • Credit toward future orders

Farmers Market Sales

  • All sales are final
  • No returns or refunds unless required by law

7. Product Availability

We reserve the right to:

  • Limit quantities
  • Adjust product offerings
  • Substitute equivalent products when necessary

8. User Accounts

You are responsible for maintaining account security and all activity under your account.

We reserve the right to suspend or terminate accounts.

9. Intellectual Property

All content, branding, product names, and materials are the property of KCG Ventures LLC and may not be used without permission.

10. Limitation of Liability

To the fullest extent permitted by law, KCG Ventures LLC is not liable for:

  • Shipping delays caused by USPS
  • Product spoilage after delivery or pickup
  • Improper storage or handling by customers
  • Indirect or consequential damages

All products are provided “as is” without warranties unless explicitly stated.

11. Indemnification

You agree to indemnify and hold harmless KCG Ventures LLC from any claims arising from your use or resale of our products.

12. Governing Law

These Terms are governed by the laws of the State of Delaware.

13. Changes to Terms

We may update these Terms at any time. Continued use of the site constitutes acceptance.
